14.3. In the event of a force majeure event, Scopeton will use reasonable endeavours to notify affected clients and to resume normal operations as soon as reasonably practicable.
15. GOVERNING LAW & JURISDICTION
15.1. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of The United Kingdom.
15.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of The United Kingdom, unless Scopeton elects to refer the matter to arbitration in accordance with the rules of a recognised arbitral institution.
15.3. Nothing in this clause shall limit Scopeton’s right to seek injunctive or other equitable relief in any jurisdiction where necessary to protect its intellectual property rights or confidential information.
16. SEVERABILITY
16.1. If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
16.2. Any invalid or unenforceable provision shall be replaced with a valid provision that as closely as possible reflects the original intent of the severed provision.
17. ENTIRE AGREEMENT
17.1. These Terms, together with the Privacy Policy, and any applicable Client or Service Agreement, constitute the entire agreement between you and Scopeton with respect to the use of the Website and the provision of services.
17.2. These Terms supersede all prior agreements, representations, warranties, and understandings between you and Scopeton in relation to the subject matter hereof.
